Please read the following Terms and Conditions carefully before submitting your project proposal. By submitting a proposal, you agree to the terms and conditions outlined below.


Definitions:

  • "Client" refers to you, the individual or entity submitting the proposal.
  • "Developer" refers to us, the company responsible for developing and launching the website.
  • "Website" refers to the website or application that will be developed and launched.
  • "Design" refers to the visual design of the website, including the layout, color scheme, typography, and other visual elements.
  • "Development" refers to the process of creating the website, including the selection of technologies, coding, testing, and deployment.
  • "Project" refers to the proposed project, including the scope of work, timeline, deliverables, and payment terms.

1. Ownership and Rights

1.1 Ownership of Website and Codebase: The designer and developer of this website retain full ownership rights to the website and its underlying codebase, excluding any specific content provided by clients.

1.2 Reuse of Code: The designer and developer reserve the right to reuse portions of the codebase, components, or features in future projects. However, unique design elements and brand-specific features related to this website will not be reused or resold.

1.3 Content Ownership: Clients retain ownership of all content they provide for the website, including text, images, and media. It is the clients's responsibility to ensure they have the rights to use any content supplied.


2. Payment Terms

2.1 Project Fees: For any custom projects, a 50% upfront payment of the total cost is required before work commences. The remaining 50% is due upon project completion and before the final handover of the website.

2.2 Retainer Plans: Retainer plans, where applicable, are billed monthly, with a minimum commitment of 3 months. Payments are due at the beginning of each month.

2.3 Extra Hours: Additional work outside the scope of retainer plans or initial agreements is billed at a standard hourly rate.


3. Project Timeline and Deliverables

3.1 Timeline: The estimated project timeline will vary based on the scope of work and the responsiveness of the client. A typical project may take approximately 3-4 weeks to complete.

3.2 Deliverables: Standard deliverables include a fully functional website, responsive design across devices, and initial content integration as agreed upon at the start of the project.


4. Revisions and Approvals

4.1 Revisions: Projects generally include a specified number of revisions. Any additional revisions beyond this scope will be billed at the standard hourly rate.

4.2 Approvals: Final approval from the client is required before the website goes live. Any changes requested after approval may incur additional costs.


5. Confidentiality and Privacy

5.1 Confidential Information: All parties agree to keep confidential any proprietary or sensitive information disclosed during the project.

5.2 Privacy Policy: Clients are responsible for ensuring that any content or activities on the website comply with all relevant privacy regulations and policies.


6. Warranties and Liabilities

6.1 Warranties: The website will be free from defects in design and functionality for a specified period after launch, typically 30 days. Any issues arising within this period will be addressed at no additional cost.

6.2 Limitations of Liability: The liability for any loss or damage caused by negligence or otherwise is limited to the total amount paid by the client for the project or services rendered.


7. Termination and Cancellation

7.1 Termination by Client: Clients may terminate their project or agreement at any time but will be responsible for payment of all work completed up to the termination date.

7.2 Termination by Developer: The developer reserves the right to terminate a project or agreement if the client fails to make payments or fulfill their obligations.


8. General Provisions

8.1 Governing Law: These terms and conditions are governed by the laws applicable in the jurisdiction of the website operator.

8.2 Entire Agreement: These terms and conditions constitute the entire agreement between the parties and supersede any prior agreements or understandings.
